This Privacy Policy explains how we collect, use, disclose, and protect personal information when you access or use the Clerks platform available at https://www.chatclerks.com, including our websites, web and mobile applications, APIs, integrations, AI-powered features, and related services (collectively, the “Services”).

1. Information We Collect
We collect personal information in the following categories.
1.1 Information You Provide
- Account information: name, email address, phone number, company name, role, and contact details
- Profile data: job title, department, preferences, and configuration settings
- Customer Data: accounting records, financial data, transactions, invoices, bills, customer and vendor records, documents, files, messages, and other content you upload or generate through the Services
- Billing information: billing contact details and payment method tokens (we do not store full payment card numbers)
- Communications: support requests, chat conversations, emails, feedback, and survey responses
- AI prompts and inputs: text, data, or instructions submitted to AI Features to generate outputs
1.2 Information We Automatically Collect
- Usage data: features used, pages viewed, actions taken, timestamps, and interaction data
- Device and technical data: IP address, browser type, operating system, device identifiers
- Log and audit data: authentication logs, access logs, error logs, and security logs
- Cookies and tracking technologies: session cookies, analytics cookies, and preference cookies
1.3 Information from Integrations and Third Parties
If you connect Clerks to third-party systems (such as accounting platforms like QuickBooks, CRMs, or productivity tools), we may receive information such as:
- customer and vendor records
- financial or accounting data
- transactional metadata
- user identity and authorization data
We process this information only in accordance with your instructions and applicable agreements.
2. How We Use Your Information
We use personal information for the following purposes.
2.1 Provide and Operate the Services
- create and manage user accounts
- authenticate users and enforce permissions
- process accounting, financial, and workflow functionality
- run AI and automation features
- provide APIs, integrations, and system connectivity
2.2 Improve and Develop the Services
- analyze usage trends and performance
- test, debug, and improve features
- enhance reliability, scalability, and security
- train and improve Clerks-specific AI models using de-identified or aggregated data
We do not use Customer Data to train generalized public AI models.
2.3 Communicate with You
- provide support and respond to inquiries
- send service-related notifications
- deliver billing and account communications
- notify you of security or operational issues
2.4 Secure the Services
- detect and prevent fraud, abuse, or misuse
- monitor access and enforce controls
- respond to security incidents

- enforce our agreements
- protect the rights, safety, and property of Dropex, our customers, and others
3. How We Share Information
We do not sell personal information. We share information only as described below.
3.1 Service Providers

- cloud hosting and storage providers
- authentication and identity services
- analytics and monitoring tools
- communications and support tools
- payment processors
Service providers are bound by confidentiality obligations and required to implement appropriate security measures.
3.2 AI and Automation Processing
When you use AI Features, your inputs may be processed by machine learning systems solely to:
- generate AI Outputs
- operate and improve the Services
- enhance safety and prevent abuse
We do not permit AI model providers to use your data to train unrelated products.
3.3 Business Transfers
If Dropex is involved in a merger, acquisition, financing, or sale of assets, personal information may be transferred as part of that transaction, subject to appropriate confidentiality and security protections.
3.4 Legal Requirements
We may disclose information if required to do so by law, legal process, or to protect the rights, safety, or property of Dropex, our customers, or others.
4. Security Measures
We maintain administrative, technical, and physical safeguards designed to protect personal information, including:
- SOC 2–aligned controls
- encryption in transit and at rest
- role-based access controls
- secure software development practices
- continuous monitoring and auditing
Access to personal information is limited to authorized personnel with a legitimate business need.

We retain personal information only as long as necessary to:
- provide the Services
- comply with legal and contractual obligations
- resolve disputes
- enforce agreements
Customer Data is deleted or returned in accordance with the MSA, DPA, and applicable law.
6. Your Rights and Choices
Depending on your location, you may have rights under GDPR, CCPA/CPRA, and other privacy laws.
These may include the right to:
- access and correct personal information
- request deletion (subject to legal obligations)
- request data portability
- object to or restrict certain processing
- opt out of marketing communications

6.1 AI Data Controls
Where applicable, you may opt out of allowing your data to be used to improve Clerks-specific AI models.
7. International Data Transfers
If you are located in the EEA, UK, or Switzerland, your personal data may be transferred to the United States or other jurisdictions.
We rely on:
- Standard Contractual Clauses (SCCs)
- Data Processing Agreements (DPAs)
- additional safeguards
to ensure lawful cross-border data transfers.
8. HIPAA and Health Information
Clerks supports HIPAA-compliant processing only where a Business Associate Agreement (“BAA”) has been executed.
Absent a signed BAA, Customer must not submit Protected Health Information (“PHI”) to the Services.
9. Children's Privacy
The Services are not directed to children under 13 (or the minimum age required by applicable law). We do not knowingly collect personal information from children.
10. Data Processing Addendum
Where Dropex acts as a processor under applicable data protection laws, the Data Processing Addendum governs such processing and forms part of the MSA.
11. Cookies and Tracking Technologies
We use essential, analytics, preference, and security-related cookies. Details are available in our Cookie Policy.
12. Third-Party Links
The Services may contain links to third-party websites or services. We are not responsible for their privacy practices.
13. Changes to This Privacy Policy
We may update this Privacy Policy from time to time. Material changes will be communicated through the Services or via email in accordance with the MSA.
